Terms of Use (Public Offer Agreement)
Effective as of July 12, 2026
This document is a public offer that governs how a license for the Nexo Uploader software is purchased, how the project's services are used, and the rights and obligations of the parties.
By paying for any plan or using the Nexo Uploader service, the User confirms that they have read this Agreement and fully accept its terms.
1. General provisions
1.1. The Nexo Uploader project (the “Service”) grants Users a non-exclusive license to use the Nexo Uploader software, the Nexo Unique software, training materials, add-on modules, and other digital products.
1.2. A User is any individual or legal entity that uses the Service, purchases a license, or pays for any plan.
1.3. All products are digital.
1.4. The Administrator may change this Agreement without prior notice. A new version takes effect when it is published.
2. Subject of the agreement
The Service gives the User access to software designed to automate work with content.
Depending on the purchased plan, the User receives:
- a license to use Nexo Uploader;
- access to Nexo Unique;
- software updates;
- technical support;
- training materials;
- personal guidance (if the corresponding plan is purchased).
The User acquires the right to use the software, not ownership of it.
3. How access is provided
After a successful payment:
- the license is issued automatically through the Telegram bot;
- or it is provided manually by the Administrator within a reasonable time (if the selected plan requires it).
The service is deemed rendered when the license is issued or access to the digital product is provided.
4. Rights and obligations of the Administrator
The Administrator may:
- change plan prices;
- change the software's functionality;
- release updates;
- perform maintenance;
- restrict access if the Terms of Use are violated;
- suspend individual features in the event of technical faults;
- refuse service to Users who violate this Agreement.
5. Obligations of the User
The User agrees to:
- use the software only in a lawful manner;
- not distribute the software to third parties;
- not transfer the license to other users;
- not attempt to hack the software;
- not decompile the software;
- not modify protection mechanisms;
- not use the service to break the laws of their country.
6. Intellectual property
All rights to:
- Nexo Uploader;
- Nexo Unique;
- training materials;
- the interface;
- the design;
- the source code;
- the algorithms;
- the documentation
belong to the project Administrator.
The following is prohibited:
- copying;
- reselling;
- distribution;
- publication;
- reverse engineering;
- transferring the license to third parties without written permission.
7. Prices and payment
Prices for licenses and additional services are published on the official website, in the Telegram bot, or on other official project resources.
Payment is made through the available payment systems.
Once the payment is confirmed, the User receives the digital product according to the selected plan.
8. Refund policy
Given the nature of digital goods and software, payments are non-refundable once the license has been issued.
A refund is possible only in the following cases:
- a duplicate charge;
- the paid product cannot be provided through the fault of the Administrator;
- other cases provided for by applicable law.
If the User has already received a license, access to the software, or training materials, the service is deemed fully rendered.
9. Personal guidance
The following additional terms apply to the “Training to results” plan:
- the price is paid once;
- the price includes the first month of the license;
- further use of the software is paid according to the current plans;
- personal support is provided indefinitely, but response times may depend on the Administrator's workload;
- the Administrator does not guarantee that the User will achieve any specific financial result, number of views, clients, or profit.
10. Limitation of liability
The software is an automation tool.
The Administrator is not liable for:
- changes to YouTube algorithms;
- changes to Google APIs;
- restrictions imposed by YouTube;
- account suspensions;
- content removal;
- changes to the rules of third-party platforms;
- actions of third parties;
- lost profits;
- lost income;
- the results of using the software.
The User decides independently whether to use the software and bears full responsibility for complying with the laws of their country and the rules of third-party services.
11. Technical support
The Administrator provides technical support on questions about using the software.
Support does not include:
- teaching basic computer skills;
- configuring the User's hardware;
- fixing problems caused by the User;
- consultations on matters unrelated to Nexo products.
12. Privacy
The Administrator processes only the personal data needed to:
- place an order;
- issue a license;
- provide technical support;
- perform this Agreement.
Personal data is never sold to third parties.
13. Changes to functionality
The User understands and agrees that the software is constantly evolving.
The Administrator may:
- add new features;
- remove outdated features;
- change the interface;
- release new versions of the software;
- change the licensing terms.
14. Final provisions
The parties will seek to resolve any disputes through negotiation.
If a dispute cannot be settled through negotiation, it is resolved under the applicable law of the Administrator's country of registration or in another jurisdiction determined by the Administrator.
Using the Service means the User fully agrees to this Agreement.
